Terms of service

Purpose Jobs provides a Site, and related services (collectively the Site, and all services provided through the Site, the “Services”) that connects those seeking employment and companies.

These Terms of Use (“Agreement”) create legally binding terms for your use of the Services whether you are simply a “Visitor” (which means you are just browsing the Services), a “Candidate” (which means you are an individual seeking employment) or a “Employer” (which means you are a company with open positions). Candidates and Employer are referred to as “Registered Users,” and Visitors and Registered Users are individually referred to as a “User” and collectively as “Users”. BY ACCESSING OR USING THE SERVICES, YOU ARE ACCEPTING THIS AGREEMENT (ON BEHALF OF YOURSELF OR THE ENTITY THAT YOU REPRESENT). YOU MAY NOT ACCESS OR USE THE SERVICES OR ACCEPT THE AGREEMENT IF YOU ARE NOT AT LEAST 18 YEARS OLD. IF YOU DO NOT AGREE WITH ALL OF THE PROVISIONS OF THIS AGREEMENT, DO NOT ACCESS AND/OR USE THE SERVICES.

Throughout this document, the words “Repurpose Group LLC,” “us,” “we,” and “our,” refer to our company, Repurpose Group LLC, Inc., our Site or our Service, as is appropriate in the context of the use of the words. The term “Prospective Employee” will refer to users of our Service who are seeking employment and/or contractor opportunities through Repurpose Group LLC. The term “Employer” will refer to a company or individual, as applicable that is interested in hiring Prospective Employees through the use of our Service. The term “You” refers to the individual, company or legal entity, as applicable, identified as the user when you register on the Site, either as or on behalf of a Prospective Employee or Employer.

If you create an account on the Services, you are responsible for maintaining the security of your account, and you are fully responsible for all activities that occur under the account and any other actions taken in connection with the account. You must immediately notify Repurpose Group LLC of any unauthorized uses of your account or any other breaches of security. Repurpose Group LLC will not be liable for any acts or omissions by You, including any damages of any kind incurred as a result of such acts or omissions. You must be a human. Accounts registered by “bots” or other automated methods are not permitted. You must provide your legal full name, a valid email address, and any other information requested in order to complete the signup process. Your login may only be used by one person – a single login shared by multiple people is not permitted. You may create separate logins for as many people as your plan allows. You may not use the Services for any illegal or unauthorized purpose. You must not, in the use of the Services, violate any laws in your jurisdiction (including but not limited to copyright or trademark laws).

PLEASE NOTE THAT THIS AGREEMENT IS SUBJECT TO CHANGE BY Repurpose Group LLC IN ITS SOLE DISCRETION AT ANY TIME.

1. SERVICES
For Prospective Employees
Repurpose Group LLC is an online service that connects prospective employees with employers through a non-binding interview request process. Prospective Employees have an opportunity to find a position with an Employer with transparency as to role and compensation in each interview request. Additionally, Prospective Employees’ use of Repurpose Group LLC is free.

The interview process is non-binding and does not create any contractual obligations between the Employer and the Prospective Employee.

For Employers
As an Employer, you may submit interview requests (“Requests”) for Prospective Employees on our Service that you feel may be a fit for your company. However, these Requests are non-binding and do not create a binding employment contract. A Success Fee will only be collected from you in after you have successfully hired a prospective Employee. YOU UNDERSTAND THAT Repurpose Group LLC DOES NOT INQUIRE INTO THE BACKGROUNDS OF ITS USERS OR ATTEMPT TO VERIFY THE STATEMENTS OF ITS USERS (ALTHOUGH IT RESERVES THE RIGHT TO CONDUCT ANY BACKGROUND CHECK OR OTHER SCREENINGS AT ANY TIME USING AVAILABLE PUBLIC RECORDS). YOU AGREE TO (1) CONDUCT ANY BACKGROUND CHECKS, REFERENCE CHECKS, OR OTHER DUE DILIGENCE THAT YOU MAY REQUIRE BEFORE MAKING AN OFFER OF EMPLOYMENT TO A PROSPECTIVE EMPLOYEE, AND (2) COMPLY WITH ALL LAWS AND REGULATIONS RELATING TO THE INTENDED EMPLOYMENT OF ANY PROSPECTIVE EMPLOYEE.

2. FEE FOR SERVICES – Employers
For purposes of these terms a “success fee” refers to both placement and a subscription fee. The client agrees to pay the success fee charged to client’s account in accordance with the billing terms.

The client agrees to pay a monthly subscription fee for access to our platform. Payments will be charged on the day you sign up for our service and will cover the use of that service for a monthly period as indicated.

For placements, a fee per position filled will be charged to the Company. The fee for services is earned only if a person is hired within one year, directly or indirectly, as a result of our candidate submission.

3. PAYMENT FOR SERVICES
Payment for placements must be made via ACH or Credit Card on the starting date of the candidate. Any costs incurred in the collection of this account will be the Company’s responsibility. 

Repurpose Group, LLC requires that subscription customers give notice by the last business day of the month prior to canceling for the subscription to be canceled at the end of the customers next billing cycle. For example, if you want your subscription to end in June, you must give notice by 6 p.m. on the last business day of May.

4. PLACEMENT GUARANTEE
Placements are guaranteed for a period of ninety (90) days from the starting date of the employee. A 100% credit will be given on any replacement necessary for the first ninety (90) days of the same position.

5. NO WARRANTIES; LIMITS OF LIABILITY
(a) Re excludes and disclaims all warranties whatsoever, including any warranty of noninfringement, merchantability or fitness for particular purpose.
(b) Neither party shall be liable to the other whatsoever for any special, consequential, indirect, exemplary or punitive damages, including any damages on account of lost profits, lost data, loss of use of data, or lost opportunity, whether or not placed on notice of any such alleged damages and regardless of the form of action in which such damages may be sought. In no event shall Repurpose Group LLC be liable to Client hereunder for any damages in excess of the fees actually paid to Repurpose Group LLC by Client during the immediately preceding six (6) month period under the statement of work under which the damages arose. (c) Beyond exercising reasonable efforts to verify employment references and, where applicable, professional licenses, Repurpose Group LLC is not responsible for fraud or misrepresentations made by candidates and does not warrant the truth of any information provided by a candidate in the resume or otherwise.

6. CONFIDENTIALITY
Client will treat as confidential all information received about a candidate, including the identity of a candidate, and will not disclose such information without the prior consent of Repurpose Group LLC.

7. Registration
In registering for an account on the Site, you agree to (1) provide true, accurate, current, and complete information about yourself as prompted by the Service registration form (“Registration Data”), and (2) maintain and promptly update the Registration Data to keep it true, accurate, current and complete. You are responsible for all activities that occur under your account. If you provide any Content that is untrue, inaccurate, not current, or incomplete, or Repurpose Group LLC has reasonable grounds to suspect that such Content is untrue, inaccurate, not current or incomplete, Repurpose Group LLC has the right to suspend or terminate your account and refuse any and all current or future use of the Site and/or Service. You agree not to create an account using a false identity or information, or on behalf of someone other than yourself. You agree that you shall not have more than one account. You agree not to create an account or use the Site or Service if you have been previously removed by Repurpose Group LLC, or if you have been previously banned from the Site or Service.

8. Non-Solicitation 
Both Parties agree that, for twelve (12) months following expiration of the term of all the Services or termination of this Agreement for any other reason, the Parties will not directly or indirectly hire or attempt to hire any person who was an employee, independent contractor, or consultant of either Party without prior written consent at any time within the term of this Agreement. 

Client may elect to hire an employee, independent contractor, or consultant of the Company any time during this agreement and for twelve (12) months following expiration of the term of all the Services or termination of this Agreement with the written consent of the Company. If Client elects to hire from the Company, Client will pay the Company a conversion fee of twenty five percent (25%) based on the annualized salary of the employee upon beginning employment at Client.

9. Indemnity
You agree to defend, indemnify and hold harmless the Repurpose Group LLC Parties from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: your use of and access to the Site and/or Service; your violation of any term of this Agreement; your violation of any third party right, including without limitation any copyright, logo, trademark, service mark, trade name, property, or privacy right; any amounts awarded against or required to be paid by the Repurpose Group LLC Parties resulting from a finding by a court or tribunal of competent jurisdiction that the Repurpose Group LLC Parties are employers or related employers of any Prospective Employee or contractor employed or retained by Employer; or any claim that any of the Content caused damage to a third party. This defense and indemnification obligation will survive this Agreement and your use of the Site and/or Service. You also agree that you have a duty to defend us against such claims. You agree that this indemnity extends to requiring you to pay for our reasonable attorneys’ fees, court costs, settlements and disbursements.

10. Non-waiver
We reserve all rights permitted to us under this Agreement as well as under the provisions of any applicable law. Our non-enforcement of any particular provision or provisions of this Agreement or the any applicable law will not be construed as our waiver of the right to enforce that same provision under the same or different circumstances at any time in the future.

11. Termination
We may suspend the Service or your account or any other provision of services to you, and we may terminate this Agreement, at our discretion without explanation and notice, though we will strive to provide a timely explanation in most cases. If you wish to terminate this Agreement, you may do so by notifying Repurpose Group LLC at any time and closing your account for the Service. Termination of the Agreement may result in the immediate deletion of any or all of the Content. Repurpose Group LLC will not have any liability whatsoever to you for any suspension or termination, including for deletion of the Content. All provisions of this Agreement which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, success fee provisions, warranty disclaimers, indemnity and limitations of liability.

12. Assignment
You may not assign your rights and/or obligations under this Agreement to any other party without our prior written consent. We may assign our rights and/or obligations under this Agreement to any other party at our discretion.

2. User Consent
By submitting Personal Data through our Site or Service, you agree to the terms of this Privacy Policy and you expressly consent to the collection, use and disclosure of your Personal Data in accordance with this Privacy Policy.

3. Types Of Data We Collect
“Personal Data” means data that allows someone to identify or contact you, including, for example, your name, address, telephone number, e-mail address, as well as any other non-public information about you that is associated with or linked to any of the foregoing data. “Anonymous Data” means data that is not associated with or linked to your Personal Data; Anonymous Data does not, by itself, permit the identification of individual persons. We collect Personal Data and Anonymous Data, as described below.We may collect Personal Data from you, such as your first and last name, location, phone number, gender, e-mail and mailing addresses, professional title, company name, employment history, education history, personal summary, and password when you create an account to log in to our network (“Account”).
A. Information Collected Via Technology – Information Collected by Our Servers. To make our Site and Service more useful to you, our servers (which may be hosted by a third party service provider) collect information from you, including your browser type, operating system, Internet Protocol (“IP”) address (a number that is automatically assigned to your computer when you use the Internet, which may vary from session to session), domain name, and/or a date/time stamp for your visit.
B. Log Files. As is true of most websites, we gather certain information automatically and store it in log files. This information includes IP addresses, browser type, Internet service provider (“ISP”), referring/exit pages, operating system, date/time stamp, and clickstream data. We use this information to analyze trends, administer the Site, track users’ movements around the Site, gather demographic information about our user base as a whole, and better tailor our Service to our users’ needs. For example, some of the information may be collected so that when you visit the Site or the Service again, it will recognize you and the information could then be used to serve advertisements and other information appropriate to your interests. Except as noted in this Privacy Policy, we do not link this automatically-collected data to Personal Data.
C. Cookies. Like many online services, we use cookies to collect information. “Cookies” are small pieces of information that a website sends to your computer’s hard drive while you are viewing the website. We may use both session Cookies (which expire once you close your web browser) and persistent Cookies (which stay on your computer until you delete them) to provide you with a more personal and interactive experience on our Site. This type of information is collected to make the Site more useful to you and to tailor the experience with us to meet your special interests and needs.
D. Pixel Tags. In addition, we use “Pixel Tags” (also referred to as clear Gifs, Web beacons, or Web bugs). Pixel Tags are tiny graphic images with a unique identifier, similar in function to cookies, that are used to track online movements of Web users. In contrast to Cookies, which are stored on a user’s computer hard drive, Pixel Tags are embedded invisibly in Web pages. Pixel Tags also allow us to send e-mail messages in a format users can read, and they tell us whether e-mails have been opened to ensure that we are sending only messages that are of interest to our users. We may use this information to reduce or eliminate messages sent to a user. We do not tie the information gathered by Pixel Tags to our users’ Personal Data..
E. Google Analytics. We use Google Analytics to help analyze how users use the Site. Google Analytics uses Cookies to collect information such as how often users visit the Site, what pages they visit, and what other sites they used prior to coming to the Site. We use the information we get from Google Analytics only to improve our Site and Service. Google Analytics collects only the IP address assigned to you on the date you visit the Site, rather than your name or other personally identifying information. We do not combine the information generated through the use of Google Analytics with your Personal Data. Although Google Analytics plants a persistent Cookie on your web browser to identify you as a unique user the next time you visit the Site, the Cookie cannot be used by anyone but Google. Google’s ability to use and share information collected by Google Analytics about your visits to the Site is restricted by the Google Analytics Terms of Use and the Google Privacy Policy.
F. Information Collected From Address Book and Contact Importing
You may use our address book and contacts importer to upload your contacts from other services into Repurpose Group LLC . When you import your contacts, we may indefinitely store the contact information in our database, including your contacts’ names, e-mails, phone numbers, locations, and relationships to you. We do not store any passwords you provide as part of the contact import process.
After we import your contacts, we will use this information to help us establish networks of contacts, document relationships, facilitate referrals, and improve our services. We may also use this information to show you and other users that you may know each other or have shared contacts. We rely upon you to obtain whatever consents from the relevant third parties that may be required by law to allow us to access and upload the third parties’ names, e-mail addresses, and other contact information. You or such a third party may contact us at support@repurpose.co to request the removal of this information from our database.

6. Use Of Your Personal Data
A. General Use
In general, Personal Data you submit to us is used either to respond to requests that you make, or to aid us in serving you better. We use your Personal Data in the following ways: a. facilitate the creation of and completion of your profile on our Site; b. identify you as a user in our system; c. provide improved administration of our Site and Service; d. send you calendar invitations; and e. send newsletters, surveys, offers, and other promotional materials related to our Service and for other marketing purposes of Repurpose Group LLC .

A. Third Parties Designated By You
When you use the Service, the Personal Data you provide will be shared with the third parties that you designate to receive such information, including other websites, your friends, relatives and business associates. Depending on the type of access you grant to such third parties, they may also be permitted to edit the information you have provided to us and to designate others to access and edit such information. You may change your settings at any time as to who has access to your information by going to your account settings and changing your publishing options.

B. Corporate Restructuring
We may share some or all of your Personal Data in connection with or during negotiation of any merger, financing, acquisition or dissolution transaction or proceeding involving sale, transfer, divestiture, or disclosure of all or a portion of our business or assets. In the event of an insolvency, bankruptcy, or receivership, Personal Data may also be transferred as a business asset. If another company acquires our company, business, or assets, that company will possess the Personal Data collected by us and will assume the rights and obligations regarding your Personal Data as described in this Privacy Policy.
C. Social Networking Sites
Our Service may enable you to post content to SNSs. If you choose to do this, we will provide information to such SNSs in accordance with your elections. You acknowledge and agree that you are solely responsible for your use of those websites and that it is your responsibility to review the terms of use and privacy policy of the third party provider of such SNSs. We will not be responsible or liable for: (i) the availability or accuracy of such SNSs; (ii) the content, products or services on or availability of such SNSs; or (iii) your use of any such SNSs.
F. Public Profile
Certain portions of the information you provide to us may also be displayed in your Profile. As an essential element of the Service, most of the Personal Data you explicitly provide to us when you register or update your Profile is displayed on your Profile. In order for your Profile to be made public, you must go to your profile settings and then to profile visibility. By default, your Profile is not for public viewing. Your photos, posts, friends, and other content you post to the Site are also meant for public consumption. We may display this content on the Site and further distribute it to a wider audience through third party sites and services. Once displayed on publicly viewable web pages, that information can be collected and used by others. We cannot control who reads your postings or what other users may do with the information that you voluntarily post, so it is very important that you do not put Personal Data in your posts. Once you have posted information publicly, while you will still be able to edit and delete it on the Site, you will not be able to edit or delete such information cached, collected, and stored elsewhere by others (e.g., search engines).
G. Other Disclosures
Regardless of any choices you make regarding your Personal Data (as described below), Repurpose Group LLC may disclose Personal Data if it believes in good faith that such disclosure is necessary (a) in connection with any legal investigation; (b) to comply with relevant laws or to respond to subpoenas or warrants served on Repurpose Group LLC ; (c) to protect or defend the rights or property of Repurpose Group LLC or users of the Site or Service; and/or (d) to investigate or assist in preventing any violation or potential violation of the law, this Privacy Policy, or our Terms of Use.

8. Third Party Websites
Our Site may contain links to third party websites. When you click on a link to any other website or location, you will leave our Site and go to another site, and another entity may collect Personal Data or Anonymous Data from you. We have no control over, do not review, and cannot be responsible for, these outside websites or their content. Please be aware that the terms of this Privacy Policy do not apply to these outside websites or content, or to any collection of your Personal Data after you click on links to such outside websites. We encourage you to read the privacy policies of every website you visit. The links to third party websites or locations are for your convenience and do not signify our recommendation of such third parties or their products, content or websites.

9. Your Choices Regarding Information
You have several choices regarding the use of information on our Service:

A. Email Communications
We will periodically send you free newsletters and e-mails that directly promote the use of our Site or Service. When you receive newsletters or promotional communications from us, you may indicate a preference to stop receiving further communications from us and you will have the opportunity to “opt-out” by following the unsubscribe instructions provided in the e-mail you receive or by contacting us directly (please see contact information below). Despite your indicated e-mail preferences, we may send you service related communications, including notices of any updates to our Terms of Use or Privacy Policy.

10. Security Of Your Personal Data
Repurpose Group LLC is committed to protecting the security of your Personal Data. We use a variety of industry-standard security technologies and procedures to help protect your Personal Data from unauthorized access, use, or disclosure. We also require you to enter a password to access your Account information. Please do not disclose your Account password to unauthorized people. No method of transmission over the Internet, or method of electronic storage, is 100% secure, however. Therefore, while Repurpose Group LLC uses reasonable efforts to protect your Personal Data, Repurpose Group LLC cannot guarantee its absolute security.

11.California Access & Deletion Rights
If you are a California resident, the CCPA allows you to make certain requests about your personal information. Specifically, the CCPA allows you to request us to:

  • Inform you about the categories of personal information we collect or disclose about you; the categories of sources of such information, the business or commercial purpose for collecting your personal information, and the categories of third parties with whom we share/disclose personal information;
  • Provide access to and/or a copy of certain personal information we hold about you;
  • Delete certain personal information we have about you; and
  • Provide you with information about the financial incentives that we offer to you, if any.

Please note that certain information may be exempt from such requests under California law.  For example, we need certain information in order to provide the Services to you. 

Verification: We will take reasonable steps to verify your identity before responding to a request, which may include, at a minimum, depending on the sensitivity of the information you are requesting and the type of request you are making, verifying your name, e-mail address, and physical address.  

You are also permitted to designate an authorized agent to submit certain requests on your behalf.  In order for an authorized agent to be verified, you must provide the authorized agent with signed, written permission to make such requests or a power of attorney.  We may also follow up with you to verify your identity before processing the authorized agent’s request.
